Job Summary:
The senior corporate counsel will play a critical role in handling matters on all aspects of the corporate team, but primarily around international subsidiary management and corporate expansion, treasury, state and blue sky compliance and management, international board and governance, equity administration and support, and other general corporate transactions. This person will also oversee the work of the corporate paralegal and be responsible for cross functional partnership on various matters.
The Senior Corporate Counsel will manage and support the following matters:
● Support the Company’s legal maintenance for all subsidiaries.
● Manage and oversee state compliance and blue sky matters.
● Assists with cross-functional international expansion efforts, including entity creation and maintenance.
● Manage international board and governance matters for the Company’s subsidiaries.
● Manage and assist with stock administration equity plan creation and management in the U.S. and in international jurisdictions.
● Support corporate governance efforts, including Board and Committee matters.
● Support financial reporting obligations for the Company’s subsidiaries.
● Support general equity matters, including stockholder inquiries, requests from preferred investors, and cap table management.
● Support various corporate and financial transactions.
● Provide legal support over internal corporate policies and trainings.
● Provide legal support over Treasury and IR functions.

Basic Qualifications:- J.D. from an accredited U.S. law school, admission to practice law in a U.S. state (California preferred), and at least 6 years of combined relevant experience in law firms, governmental agencies, and/or in-house legal departments. In-house experience is preferred.
- Must have relevant general corporate and securities experience.
Preferred Qualifications:- Ability to organize, prioritize, and manage projects effectively in a dynamic, fast-paced environment.
- Excellent attention to detail, with an ability to think holistically and strategically.
- Self-driven with a willingness to take ownership of their work.
- Superior interpersonal skills and team-first attitude.

$160,000 - $204,480 a year
This U.S. based, full-time position offers the above base salary range + equity + benefits + bonus plan.
Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
